Terms of Service

These terms are a binding agreement between Kaivalya Innovations Private Limited, doing business as Saskaware ("we", "us"), a company incorporated in India, and the organization or person using SKW TransportOS ("you"). By creating an account, inviting members, or using the API, you accept them on behalf of your organization.
1. The Service
SKW TransportOS plans truck loads and delivery routes: it computes which items go on which trucks, in what loading sequence, with 3D load plans, dispatch management and reporting, available through a web dashboard and (on eligible subscriptions) a REST API.
2. Accounts and organizations
You must provide accurate signup information and keep credentials confidential. Everything in a workspace is scoped to your organization; you are responsible for who you invite and for their actions. Seat allowances depend on your subscription.
3. Subscriptions, billing and taxes
Paid subscriptions are sold by our merchant of record, Paddle, which handles checkout, invoicing, applicable sales tax/VAT and payment data. Prices are shown at checkout; subscriptions renew monthly until cancelled. Cancelling stops the next renewal — see the Refund & Cancellation Policy for details. Plan quotas (such as monthly plan limits, seats and API access) are enforced by the Service; exceeding them requires an upgrade.
4. Free tier and fair use
Free accounts and the anonymous calculators exist for evaluation and light use, are rate-limited, and may be adjusted at any time. Automated scraping of the free tools, circumventing rate limits or quota metering, and reselling the Service without a written agreement are prohibited.
5. Your data
You own the data you enter (catalogs, orders, plans, driver rosters) and the outputs computed from it. You grant us the license needed to host and process that data to run the Service — nothing more. You are responsible for having the right to enter the personal data you add (for example driver phone numbers). Handling of personal data is described in the Privacy Policy.
6. Acceptable use
- No unlawful, infringing or fraudulent use.
- No attempts to breach, probe or overload the Service or other tenants.
- No reverse engineering of the optimization engine, except where law permits.
- API access must respect published rate limits and per-key credentials; keys are per-organization and must not be shared publicly.
7. Planning results are decision support
Load plans, routes, axle-load figures, emissions and energy estimates are computational results based on the data you provide. They do not replace professional judgment or legal compliance. You remain solely responsible for verifying that any vehicle as actually loaded and operated complies with applicable law — including weight and axle limits, cargo-securing rules, driver-hours and road regulations — and for the physical safety of loading operations. Estimates depend on the accuracy of the dimensions, weights and vehicle data you enter.
8. Availability and changes
We aim for high availability but the Service is provided without an uptime guarantee unless a separate agreement says otherwise. We may improve or change features; if a change materially reduces core functionality of a paid subscription we will notify you in advance.
9. Intellectual property
The Service, including its optimization engine, software and content (excluding your data), belongs to Kaivalya Innovations Private Limited and its licensors. Feedback you send may be used to improve the Service without obligation.
10. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. Some jurisdictions do not allow certain exclusions; where prohibited, they do not apply to you.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or lost profits, revenue or data. Our total liability arising out of the Service is limited to the amounts you paid for it in the twelve months before the event giving rise to the claim (or USD 100 if you paid nothing). Nothing limits liability that cannot be limited by law, including for fraud or willful misconduct.
12. Indemnity
You will indemnify us against third-party claims arising from your data, your use of the Service in breach of these terms, or your violation of law — including claims arising from vehicles operated in violation of transport regulations.
13. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate access for material breach (with notice and a chance to cure where practical), for non-payment, or where required by law. After termination you may request an export of your data for 30 days, after which it is deleted per the Privacy Policy.
14. Governing law and disputes
These terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts at the registered seat of Kaivalya Innovations Private Limited, without prejudice to mandatory consumer protections that apply in your country of residence. The parties will attempt good-faith resolution before litigation.
15. Changes to these terms
We may update these terms; material changes will be announced at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
